Complex structured finance transactions are innovative financing techniques that create customized financing products to suit the financial needs of customers. Since they are customized, they are often unique, illiquid and difficult to price. Their proper use contributes to market efficiency by lowering risk to a lender and as a direct result of the lower lender risk; they reduce the overall cost of borrowing to a customer. While there is no consistently used legal or technical definition of complex structured finance transactions, there is a consensus on three key characteristics. First, they are fee-based or involve the synthetic protection of assets. Second, they delink the credit risk of the assets from the originator of the credit, often through credit enhancement, hedging, or transfer to a special purpose entity. Third, they divide the resulting liabilities by level of risk within the structured product and assign the separate portions to different lenders based primarily on risk levels, producing different returns.
